  • Founded in 1980, Valley View | K&D Agri Systems sells GSI grain bins to farmers and commercial elevators throughout the Southeastern United States.  Through both organic growth and strategic acquisitions, Valley View became the largest dealer of GSI grain bins in the world.

Founders sought an exit opportunity that would both maximize the firm's value for its founders and other stockholders and ensure ongoing employment for its workforce.

Our team performed due diligence on the company, which included preparation of marketing materials, financial forecasts and a company valuation. We strategically marketed Valley View to a variety of potential investors, including private equity, individual investors and strategic/corporate investors.

The client received two offers to buy 100% of the company.  Our team negotiated with both potential buyers to ensure the best possible deal. The stakeholders ultimately accepted the offer from an individual investor over that of a private equity firm. The purchase price was premium to the market rate.

  • NunoErin was founded by husband-and-wife team Nuno Ferreira and Erin Hayne.  With a vision to  humanize the experience of public spaces and bring a high-tech sense of place to commercial spaces, the company offers innovative decor using bio-sensing stimuli to create mood-boosting environments.

NunoErin sought capital formation assistance of $1 million for its start-up business and a subsequent capital raise for the funding of growth opportunities.

For the initial capital raise, our team developed market materials for the company, including a pitch book and financial/valuation models. We worked with a group of investment advisors to identify potential investors, and BSA managed and led the closing process. Our team subsequently led a second round of financing for the company.

In its initial fundraise, NunoErin received funding from high-net-worth individuals throughout the Mid-South. The second round of financing was an institutional round.
